We have an annual meeting coming up. The ballot contains a proxy section on top and the candidates and the ballot on bottom. What if I vote for a candidate, am not attending the meeting but right in a name of a trusted friend as my proxy. On the day of meeting friend cannot attend. What happens?

Is my vote for the candidate still good? Would this affect quorum with on less person?
