Consider the the following Caluse from the contract:

Clause B:'It is agreed becuase it is necessary for the employer to protect its proprietary interests and confidential information realting to all material aspects of its business, the employee shall be restrained , during his period of employement and during the period of two years following the termination of his contract of emplyment, from being interested either directly,or indirectly and whether as owner, partner, financier, employee,and an insurance broker in a business being conducted by the employer at the time of termination.

The Quastion:

Does the the employer has anything to protect?

Is the restarint on this contratc fair( not against the bill of rights)
